1. OUR SERVICES

Atlax operates a Decentralized Location Intelligence Platform collecting data globally via a sensor network hosted by a community of participants, utilizing blockchain, AI, and DePIN technologies for multimodal tracking.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Our Services include but are not limited to:

• Decentralized Location Intelligence Platform infrastructure
• AI-powered route optimization and anomaly detection
• Blockchain-based smart contracts on Solana
• Multimodal tracking for trucks, trains, drones, ships, and aircraft
• Sensor deployment and data collection infrastructure

2. INTELLECTUAL PROPERTY RIGHTS

Content, software, and services on the Site that is provided by Atlax or its licensors, including certain graphics, photographs, images, screen shots, text, digitally downloadable files, trademarks, logos, product and program names, slogans, and the compilation of the foregoing ("Atlax Content") is the property of Atlax and its licensors, and is protected in the U.S. and internationally under trademark, copyright, and other intellectual property laws. We reserve all of our rights in the Atlax Content.

You agree not to download, display or use any Atlax Content located on the Site for use in any publications, in public performances, on websites other than the Site for any commercial purpose, in connection with products or services that are not those of Atlax, in any other manner that is likely to cause confusion among consumers, that disparages or discredits Atlax and/or its licensors, that dilutes the strength of Atlax's or its licensor's property, or that otherwise infringes Atlax's or its licensors' intellectual property rights. You further agree to in no other way misuse any Atlax Content or third-party Content that appears on the Site.

The Atlax platform, including software, algorithms, and documentation, is protected by intellectual property rights. Users are granted a limited license to use the platform for its intended purposes.

• Users retain rights to their contributed data
• Atlax retains rights to platform improvements and innovations
• Open-source components are governed by their respective licenses
• Users may not copy, modify, or distribute proprietary components

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Legal Terms;
• You are not a minor in the jurisdiction in which you reside;
• You will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
• You will not use the Services for any illegal or unauthorized purpose;
• Your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

• Report suspicious activity immediately
• Keep your contact information current

5. NETWORK PARTICIPATION

5.1 Node Operators

• Ensure proper installation and maintenance of sensors
• Provide accurate location and operational data
• Maintain minimum uptime requirements (95%)
• Comply with local regulations and permits
• Report technical issues promptly

5.2 Prohibited Activities

• Providing false or misleading data
• Attempting to manipulate network consensus
• Interfering with other users' operations
• Using the platform for illegal activities
• Reverse engineering or unauthorized access

6. STAKING AND REWARDS

Atlax operates a staking mechanism to secure the network and incentivize participation. By staking tokens, participants contribute to network security and earn rewards based on their contribution.

6.1 Staking Requirements

• Minimum stake requirements may vary by node type
• Staked tokens are subject to lock-up periods
• Staking requires maintaining network participation standards
• Tokens must be staked from a compatible wallet

6.2 Rewards Distribution

• Rewards are distributed based on data quality and quantity
• Distribution occurs through automated smart contracts
• Reward rates may fluctuate based on network participation
• Rewards may be subject to applicable taxes
• Atlax reserves the right to modify the reward structure

Participation in staking involves risk, including potential loss of staked assets due to slashing penalties for network violations, technical failures, or market fluctuations. Users acknowledge these risks when participating.

7. PURCHASES AND PAYMENT

We accept the following forms of payment:

• Cryptocurrency payments (including but not limited to SOL, USDC)
• Credit or debit card payments where applicable

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

All purchases through the Site are subject to product availability. We reserve the right to limit the quantities of any products or services that we offer.

8. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US OR CERTAIN MINIMUM AMOUNT ALLOWED UNDER APPLICABLE LAW.

BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

The Atlax platform operates on decentralized technology, which carries inherent risks. We do not guarantee:

• Uninterrupted or error-free operation
• Specific economic outcomes or rewards
• Protection from all security vulnerabilities
• Compatibility with all hardware or software
• Accuracy of all data collected or processed

9. TERMINATION

9.1 User Termination

You may terminate your account at any time. Staked tokens will be returned according to the unstaking schedule defined in smart contracts.

9.2 Platform Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

We may terminate or suspend accounts for violations of these terms. In case of platform discontinuation, we will provide reasonable notice and migration options.

10. DISPUTE RESOLUTION

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Any dispute arising from the use of the Services or the interpretation of these terms will be governed by the laws of the jurisdiction in which Atlax is registered, without regard to its conflict of law provisions.

11. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

12. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. 14. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of the jurisdiction in which Atlax is registered. Atlax and yourself irrevocably consent that the courts of that jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.
